Where should an annual report be sent?

For Swedish companies, the following applies: Following approval at the annual general meeting, an annual report must be submitted to Bolagsverket. Bolagsverket is the government agency that registers and maintains annual reports for Swedish companies. An annual report, thereby, becomes a public document that anyone may access. For listed companies, an annual report must also be published on a company’s website and distributed in accordance with stock exchange requirements.

Submission to Bolagsverket

An annual report is submitted digitally to Bolagsverket via their e-service which requires BankID for login. The annual report is uploaded as a PDF file together with supplementary information. Bolagsverket verifies that the annual report contains mandatory components such as the income statement, balance sheet, notes and a directors’ report. After approved registration, an annual report becomes public and can be searched in Bolagsverket’s database.

Distribution for listed companies

Companies listed on the Nasdaq Stockholm must publish an annual report via an approved news distribution system such as Cision or GlobeNewswire that supplies the financial media and analysts.
